These Terms of Service ("Terms") govern your access to and use of all platforms, applications, software, features, tools, and services operated by B Optima Health LLC (collectively, the "Platform"). By accessing or using the Platform, you agree to be legally bound by these Terms. If you do not agree, you must not access or use the Platform. 

1. Platform Operator and Structure 

B Optima Health LLC ("B Optima Health," "we," "us," or "our") is a limited liability company with a principal place of business at:

B Optima Health operates multiple healthcare service platforms, including: 

PrEP Stop 

A care-coordination and access facilitation platform that connects users with independent third-party licensed healthcare providers, community-based organizations, and licensed pharmacies for HIV prevention services (including PrEP and related care). 

PrEP Support Ai 

A patient adherence and retention support platform that provides automated SMS-based medication adherence support, educational information, and care coordination assistance for individuals taking PrEP. 

These platforms are supported by proprietary technology owned by B Optima Health or affiliated technology companies. Technology providers do not provide medical care, pharmacy services, or clinical decision-making. 

2. Nature of the Platform 

2.1 Service Lines 

B Optima Health operates as a care-coordination, access facilitation, and patient support platform. We connect users with independent third-party licensed healthcare providers, community-based organizations, licensed pharmacies, and provide automated adherence support services. 

2.2 Important Disclaimer – B Optima Health is NOT a Healthcare Provider 

B Optima Health, including all affiliated platforms and services, is NOT a healthcare provider, pharmacy, medical practice, or medical service. We do NOT: 

Practice medicine or pharmacy 

Provide medical advice, diagnosis, or treatment 

Prescribe medications 

Dispense, ship, or fulfill prescriptions 

Make clinical decisions 

2.3 Independent Third-Party Providers 

All medical consultations, prescriptions, laboratory testing, pharmacy services, clinical decisions, and healthcare services are provided exclusively by independent third-party licensed professionals and entities who are solely responsible for the care they deliver. 

B Optima Health has no authority over, and assumes no liability for, the acts, omissions, quality of care, or professional conduct of these independent third parties. 

2.4 PrEP Support Ai Services 

PrEP Support Ai provides automated SMS-based adherence support and educational information powered by artificial intelligence technology. PrEP Support Ai does not provide medical advice, diagnoses, or treatment recommendations. 

All information provided through PrEP Support Ai is for educational and supportive purposes only. You should consult with your healthcare provider for medical advice, treatment decisions, or if you have questions or concerns about your health or medications. 

3. Eligibility 

To use the Platform, you must be: 

At least 18 years of age 

Legally capable of entering into a binding contract 

Located in a jurisdiction where services facilitated through the Platform are available 

By using the Platform, you represent and warrant that you meet these eligibility requirements. 

4. Geographic Availability 

The Platform is intended for use only by individuals located in U.S. jurisdictions where services are supported at the time of access. 

Service availability may vary by location and may change over time based on regulatory requirements, provider availability, or other factors. 

B Optima Health makes no representation that services are available in all jurisdictions and reserves the right to limit or deny access based on location or regulatory requirements. 

5. Account Registration and Security 

To use certain features of the Platform, you may be required to create an account. By creating an account, you agree to: 

Provide accurate, current, and complete information during registration 

Maintain and promptly update your account information to keep it accurate and current 

Maintain the confidentiality of your account credentials (username and password) 

Notify us immediately of any unauthorized access to or use of your account 

Use only one account per individual 

Accept responsibility for all activities that occur under your account 

You may not share your account credentials with others or allow others to access your account. 

6. Medical Services and Telehealth 

Any medical services, consultations, or telehealth services accessed through the Platform are provided exclusively by independent, licensed healthcare professionals who are not employees, agents, or contractors of B Optima Health. 

B Optima Health does not influence, control, or participate in any: 

Clinical judgment 

Diagnosis 

Treatment recommendation 

Prescribing decision 

Medical decision-making 

All such decisions are made solely by the independent healthcare provider in accordance with applicable state and federal law and their professional judgment. 

The healthcare provider-patient relationship exists solely between you and the independent healthcare provider, not with B Optima Health. 

7. Pharmacy Services and Medications 

If a prescription is issued by an independent healthcare provider, it may be transmitted to a licensed pharmacy selected based on: 

Availability 

Regulatory requirements 

User preference 

Insurance network participation 

B Optima Health does not: 

Handle, dispense, or ship medications 

Bill insurance for medications 

Collect co-pays for medications 

Make decisions about medication fulfillment 

All pharmacy services are provided by independent, licensed pharmacies that are solely responsible for medication fulfillment, safety, and quality. 

8. Fees and Costs 

B Optima Health does not charge users for: 

Platform access 

Care coordination services 

HIV testing facilitation 

Telehealth access facilitation 

PrEP Support Ai support services 

Certain third-party services may involve costs, including: 

Medications (determined by insurers, pharmacies, or pharmaceutical manufacturers) 

Laboratory testing (determined by laboratories or insurers) 

Healthcare provider consultation fees (in some cases) 

You are responsible for any costs associated with third-party services. Payment for such services is handled directly between you and the third-party provider, pharmacy, or laboratory. 

9. Not for Emergencies 

The Platform is not intended for medical emergencies. 

If you believe you are experiencing a medical emergency, call 911 immediately or seek immediate emergency medical care at the nearest emergency room. 

Do not use the Platform, including PrEP Support Ai SMS services, for urgent or emergency medical situations. 

10. Privacy 

Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, disclose, and protect your personal information and protected health information. 

By using the Platform, you consent to the collection and use of information as described in the Privacy Policy.

11. Electronic Communications and SMS Terms 

11.1 Consent to Electronic Communications 

By creating an account, enrolling in services, or otherwise providing your mobile phone number through the Platform, you expressly consent to receive recurring automated communications from B Optima Health, including: 

Email communications 

Phone calls 

Text messages (SMS) 

11.2 SMS Communications 

Communications via SMS may include: 

For PrEP Stop services: 

Appointment reminders 

Prescription updates 

Laboratory notifications 

Care coordination communications 

Account alerts 

For PrEP Support Ai services: 

Automated SMS conversations providing medication adherence support 

Educational information about PrEP medications 

Side effect management guidance 

Refill reminders 

Retention support and check-ins 

Responses to your questions about PrEP adherence 

11.3 Message Frequency and Charges 

Message frequency may vary based on your activity and service enrollment. 

Message and data rates may apply. You are responsible for any charges imposed by your mobile carrier for SMS messages. 

11.4 Opt-Out and Help 

You may opt out of SMS communications at any time by replying STOP to any text message from B Optima Health.

11.5 Important Disclaimers 

Consent to receive SMS messages is not a condition of purchase of any goods or services. 

We do not sell, rent, or share SMS opt-in consent with third parties for marketing purposes. 

SMS communications may be sent using automated technology, including artificial intelligence. 

12. Revisions to These Terms 

We may revise these Terms at any time by posting updated Terms on the Platform with a revised "Last Updated" date. 

Your continued use of the Platform after any posted changes constitutes your acceptance of the revised Terms. 

We encourage you to review these Terms periodically. For material changes, we may provide additional notice (such as via email or prominent notice on the Platform). 

13. Acceptable Use 

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You agree NOT to: 

Provide false, inaccurate, or misleading information 

Use the Platform in any unlawful manner or for any unlawful purpose 

Violate any applicable federal, state, or local laws or regulations 

Interfere with or disrupt the Platform or servers or networks connected to the Platform 

Attempt to gain unauthorized access to any portion of the Platform, other accounts, or systems 

Use any automated system (other than as provided by the Platform) to access the Platform 

Transmit any viruses, malware, or other malicious code 

Harass, abuse, or harm any person or entity 

Impersonate any person or entity or misrepresent your affiliation with any person or entity 

Use the Platform for any commercial purpose not expressly authorized by B Optima Health 

B Optima Health reserves the right to suspend or terminate your access to the Platform if you violate these Terms or engage in conduct that we determine, in our sole discretion, is harmful to other users, us, or third parties. 

14. Intellectual Property 

All content, software, design elements, logos, trademarks, service marks, and proprietary materials on the Platform (collectively, "Content") are owned by or licensed to B Optima Health or its affiliates. 

You may not: 

Copy, modify, distribute, transmit, display, reproduce, publish, license, or create derivative works from any Content 

Use any Content for commercial purposes without express written permission from B Optima Health 

Remove or alter any copyright, trademark, or other proprietary notices from Content 

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your personal, non-commercial use in accordance with these Terms. 

15. Disclaimer of Warranties 

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. 

To the fullest extent permitted by law, B Optima Health disclaims all warranties, including but not limited to: 

Implied warranties of merchantability, fitness for a particular purpose, and non-infringement 

Any warranties regarding the accuracy, reliability, completeness, or timeliness of any content or information on the Platform 

Any warranties that the Platform will be uninterrupted, secure, or error-free 

Any warranties regarding the quality of any services, information, or other material obtained through the Platform 

B Optima Health makes no warranties regarding the services provided by independent healthcare providers, pharmacies, laboratories, or other third parties. 

You use the Platform at your own risk. 

16. Limitation of Liability 

TO THE MAXIMUM EXTENT PERMITTED BY LAW, B OPTIMA HEALTH AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, INCLUDING BUT NOT LIMITED TO: 

Lost profits or revenue 

Loss of data 

Personal injury or property damage 

Medical complications or adverse outcomes 

Acts or omissions of independent healthcare providers, pharmacies, or other third parties 

THIS LIMITATION APPLIES REGARDLESS OF THE LEGAL THEORY ON WHICH THE CLAIM IS BASED (whether contract, tort, negligence, strict liability, or otherwise), EVEN IF B OPTIMA HEALTH HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. 

IN NO EVENT SHALL B OPTIMA HEALTH'S TOTAL LIABILITY TO YOU EXCEED $100 OR THE AMOUNT YOU PAID TO B OPTIMA HEALTH IN THE 12 MONTHS PRECEDING THE CLAIM, WHICHEVER IS GREATER. 

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. 

17. Indemnification 

You agree to indemnify, defend, and hold harmless B Optima Health and its affiliates, officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or related to: 

Your use or misuse of the Platform 

Your violation of these Terms 

Your violation of any rights of another person or entity 

Your provision of false or misleading information 

Any content you submit or transmit through the Platform 

B Optima Health reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of such claims. 

18. Dispute Resolution 

18.1 Governing Law 

These Terms and any disputes arising out of or related to the Platform shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict of law principles. 

18.2 Arbitration 

Any dispute, claim, or controversy arising out of or relating to these Terms or the Platform (including any question concerning the existence, validity, or termination of these Terms) shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. 

The arbitration shall be conducted in Atlanta, Georgia. 

The arbitration shall be conducted by a single arbitrator. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court having jurisdiction. 

18.3 Class Action Waiver 

You agree that any arbitration or proceeding shall be limited to the dispute between you and B Optima Health individually. To the fullest extent permitted by law: 

Neither you nor B Optima Health will seek to have any dispute heard as a class action, representative action, collective action, or private attorney general action 

No arbitration or proceeding will be combined with another without the prior written consent of all parties to all affected arbitrations or proceedings 

18.4 Exceptions 

Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights. 

19. Severability 

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. 

20. Waiver 

No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or condition or any other term or condition. B Optima Health's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision. 

21. Entire Agreement 

These Terms, together with the Privacy Policy and any other legal notices or agreements published on the Platform, constitute the entire agreement between you and B Optima Health regarding your use of the Platform and supersede any prior agreements or understandings. 

22. Assignment 

You may not assign or transfer these Terms or your rights and obligations under these Terms without B Optima Health's prior written consent. 

B Optima Health may assign or transfer these Terms or its rights and obligations under these Terms at any time without restriction.
